SERVICE AGREEMENT

This Service Agreement ("Agreement") outlines the terms and conditions for the purchase and use of licenses provided by Diverse Solutions Strategy Firm Inc ("Provider"). By completing a purchase, the purchaser ("Purchaser") agrees to the following terms and conditions:

1. Acceptance of Terms

1.1 By purchasing licenses from the Provider, the Purchaser acknowledges and agrees to be bound by this Agreement.
1.2 The Purchaser confirms they have read, understood, and accepted all terms and conditions herein.

2. Provision and Use of Licenses

2.1 The Purchaser will be provided the specified number of license codes upon full payment.
2.2 Each license code:

• Is valid for one (1) year from the purchase date.
• Is non-transferable and may not be reassigned to another user after activation.
• Is non-reusable and cannot be reactivated once expired or used.

2.3 The Purchaser is responsible for distributing the license codes to authorized users within their organization.

3. Restrictions on Use

3.1 The Purchaser may only use the license codes for the number of users corresponding to the purchased licenses.
3.2 The licensed content or services associated with the codes must not be:

• Replicated or copied in any format.
• Redistributed beyond the number of licenses purchased.
• Shared or sold to third parties.

3.3 Any unauthorized replication, redistribution, or misuse of the licensed content or services constitutes a violation of this Agreement. Such violations will result in:

• Immediate termination of all licenses.
• Legal action, including a penalty charge of $500,000 CAD per violation.

4. Intellectual Property Rights

4.1 The licensed content and services, including all intellectual property, remain the exclusive property of the Provider.
4.2 The Purchaser is granted a limited, non-exclusive, and non-transferable right to use the licensed content or service solely for internal purposes.

5. Refund Policy

5.1 All license purchases are final. No refunds will be provided under any circumstances, including for unused or unactivated license codes.
5.2 The Purchaser acknowledges that they are purchasing a specific number of licenses with a one-year usage term and agrees that no adjustments or credits will be provided for unused licenses.

6. Term and Termination

6.1 Each license is valid for one (1) year from the purchase date.
6.2 The Provider reserves the right to terminate the licenses and this Agreement immediately if the Purchaser breaches any term of this Agreement.

7. Indemnification

The Purchaser agrees to indemnify, defend, and hold harmless the Provider from any claims, damages, or liabilities arising from the Purchaser's misuse, unauthorized replication, or redistribution of the licensed content or services.

8. Limitation of Liability

The Provider’s liability for any claim related to this Agreement is limited to the total amount paid by the Purchaser for the licenses.

9. Governing Law

This Agreement is governed by the laws of Ontario, Canada.

10. Entire Agreement

10.1 This Agreement constitutes the entire understanding between the Purchaser and the Provider concerning the purchased licenses.
10.2 Any modifications to this Agreement must be made in writing and signed by both parties.

By completing the purchase, the Purchaser acknowledges and agrees to the terms and conditions outlined in this Agreement, including the no-refund policy.
